Seller Terms

1. Introduction

These Seller Terms apply to businesses ("Tenants" or "Sellers") who list products for sale on the StudioHub Collective Exchange marketplace. By listing products on the Exchange, you agree to these terms in addition to the general Terms & Conditions.

2. Seller Responsibilities

As a seller on the Exchange, you are responsible for:

  • Accurate Listings: Providing accurate, truthful product descriptions, images, pricing, and condition information.
  • Stock Accuracy: Maintaining accurate stock levels and promptly updating or removing sold items.
  • Fulfilment: Fulfilling orders in a timely manner and arranging collection or delivery as agreed with buyers.
  • Customer Service: Responding to buyer enquiries, handling complaints, and resolving disputes professionally.
  • Refunds and Returns: Managing refund requests and returns in accordance with your stated policies and applicable law.
  • Legal Compliance: Ensuring your listings comply with all applicable New Zealand laws, including consumer protection laws.

3. Platform Role

StudioHub Collective provides the Exchange as a marketplace platform. StudioHub Collective is not a party to transactions between sellers and buyers. StudioHub Collective does not:

  • Take ownership of or title to products listed.
  • Guarantee the accuracy of listings or availability of products.
  • Handle fulfilment, delivery, or returns on behalf of sellers.
  • Mediate or resolve commercial disputes (though we may assist where appropriate).

4. Listing Approval

Products submitted to the Exchange are subject to approval by StudioHub Collective. We reserve the right to reject, remove, or request changes to any listing at our discretion. Common reasons for rejection include:

  • Inaccurate or misleading descriptions.
  • Poor quality images.
  • Prohibited items or categories.
  • Pricing that appears unreasonable or misleading.

5. Payments

Payments for Exchange sales may be processed via Stripe or manual invoicing, depending on your configuration. Payment settlement terms and any applicable fees will be communicated through your StudioHub Collective account settings.

You are responsible for all taxes applicable to your sales, including GST if registered.

6. Consumer Guarantees

You acknowledge that sales to consumers in New Zealand may be subject to the Consumer Guarantees Act 1993. You are responsible for honouring any applicable consumer guarantees and must not include terms in your listings that purport to exclude or limit consumer rights unlawfully.

7. Prohibited Conduct

As a seller, you must not:

  • List counterfeit, stolen, or prohibited items.
  • Provide false or misleading information about products.
  • Manipulate pricing or create fake transactions.
  • Harass or abuse buyers or other platform users.
  • Violate any applicable laws or regulations.

8. Account Suspension

StudioHub Collective may suspend or terminate your Exchange selling privileges if you breach these Seller Terms, engage in prohibited conduct, or for any other reason at our discretion. We will endeavour to provide notice where practicable.

9. Indemnification

You agree to indemnify and hold harmless StudioHub Collective from any claims, damages, or expenses arising from your use of the Exchange, your listings, or any breach of these Seller Terms.

10. Governing Law

These Seller Terms are governed by the laws of New Zealand. Any disputes will be subject to the exclusive jurisdiction of the courts of New Zealand.
